Terms of Service
Effective date: October 2, 2026 · Last updated: October 9, 2026
Please read these Terms carefully. Section 18 requires most disputes between you and SwapRound to be resolved by individual arbitration, and waives your right to a jury trial and to take part in a class action. You can opt out of arbitration within 30 days of first accepting these Terms.
1. Who we are and what you are agreeing to
SwapRound is operated by SwapRound LLC, a Connecticut limited liability company ("SwapRound," "we," "us"). These Terms of Service ("Terms") govern your use of the SwapRound mobile app, the website at swapround.app, and related services (the "Services").
You accept these Terms by checking the agreement box when you create an account, or when we ask you to accept an updated version. These Terms include the following documents, each of which is part of your agreement with us: the Privacy Policy, the Community Guidelines & Prohibited Items, the Payments, Fees & Trade Policy, the Meetup Safety & Liability Release, and, where they apply to you, the Neighbor Points Program Terms, the Round+ Membership Terms, and the Referral Program Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old, able to form a binding contract, and a resident of the United States. You may buy and sell only in an area where SwapRound operates. The Services are for parents and caregivers buying and selling items for children. They are not directed to children, and children may not hold accounts. You may have one account. You may not use the Services if we have previously removed you, or if the law prohibits you from doing so.
3. What SwapRound is, and what it is not
SwapRound is a venue. We provide technology that lets members list items, find items nearby, agree terms, pay, and arrange a local handoff. We are not a party to any trade between members. We do not own, possess, inspect, test, or take custody of any item. We are not the buyer's or the seller's agent.
The contract for an item is between the buyer and the seller. Title and risk of loss pass from seller to buyer at the handoff. Any dispute about an item, its condition, its authenticity, or a member's conduct is between those members, except for the limited processes described in the Payments, Fees & Trade Policy.
We carry out certain checks, including listing review, recall screening, and image review, described in Section 12. Those checks are a best effort. They are not a warranty and not an inspection of any item.
4. Your account
You must give accurate information and keep it current. You must verify a mobile phone number. You may choose to verify your identity as described in the Privacy Policy. You are responsible for activity on your account and for keeping your login details secure. Tell us promptly at admin@swapround.app if you suspect unauthorized use.
We may refuse, limit, suspend, or close an account, including where we believe these Terms or the Community Guidelines have been broken, where a member creates risk for others, or where the law requires it.
5. Seller obligations
When you list an item, you promise that:
- you own the item and have the right to sell it;
- the item is accurately described, including defects, wear, stains, damage, missing parts, and age;
- your photos show the actual item;
- the item is legal to sell and is not a Prohibited Item under the Community Guidelines;
- the item has not been recalled. Federal law makes it unlawful to offer a recalled consumer product for sale. Checking recall status is your responsibility as the seller. SwapRound's recall screening does not relieve you of it;
- the item is clean, complete, and safe for its intended use; and
- you will honor an offer you accept, at the agreed price, time, and place.
You are responsible for deciding whether your selling activity is a business, and for your own taxes.
6. Buyer obligations
An offer is a binding commitment to buy the item at that price if the seller accepts it, subject to the cancellation rules in the Payments, Fees & Trade Policy. You agree to inspect the item at the handoff before you confirm the trade. Confirming the trade ("I got it") means you have inspected the item and accept it as it is. You agree not to use a return request or dispute to get items or money in bad faith.
7. Local handoffs
Trades are completed in person, between members, at a place the members choose. SwapRound does not arrange, attend, supervise, staff, or control any meetup. Before your first offer you accept the Meetup Safety & Liability Release. General suggestions in the app about where to meet are for convenience only. We do not inspect, monitor, or warrant the safety of any location.
8. Fees, payments, and payouts
Buyers pay the item price plus a Safety & Platform Fee on each trade. Sellers pay a seller fee, deducted from their payout. Current amounts, payment holds, cancellations, returns, disputes, and payouts are set out in the Payments, Fees & Trade Policy, and current prices are shown in the app before you commit.
Payments and payouts are processed by Stripe. To receive payouts you must also accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, and you authorize us to share with Stripe the information it needs to verify you and move funds. SwapRound does not hold your funds as a deposit and pays no interest on them.
9. Neighbor Points
Neighbor Points are a promotional loyalty feature for Round+ members. They have no cash value. They cannot be bought, withdrawn, exchanged for cash, or transferred, and they are not your property. They are governed by the Neighbor Points Program Terms, including earning, use, expiry, and forfeiture.
10. Round+ membership
Round+ is an optional, automatically renewing paid membership. Billing, free trials, renewal, cancellation, and refunds are governed by the Round+ Membership Terms.
11. Your content
You keep ownership of the photos, descriptions, reviews, and messages you submit ("Your Content"). You give SwapRound a non-exclusive, worldwide, royalty-free license to host, store, copy, adapt, display, and distribute Your Content to operate and improve the Services, including showing your listings to other members. We will not use your listing photos in advertising outside the Services without your permission. This license ends when you delete the content or your account, except for copies already shared with other members, kept in backups, or needed for legal or safety reasons.
You promise that you have the rights to Your Content and that it does not infringe anyone else's rights. Copyright complaints are handled under the Copyright & DMCA Policy. If you send us suggestions or feedback, we may use them freely and without obligation to you.
12. Safety screening, moderation, and their limits
We may, but are not obliged to, review listings, images, and messages. This includes review of listings by our team before they go live, automated screening against published recall data, automated image review, and automated checks in messages that block contact details and flag abusive language. These checks are not a guarantee. Recall data may be incomplete or late. An item may be recalled after it is listed. People and automated tools make mistakes. Do not rely on SwapRound's screening in place of your own judgment and inspection.
We may remove listings or content, limit features, or suspend accounts, with or without notice, where we believe there is a risk to members or a breach of our rules.
Reviews. Members may rate and review each other after a trade. We remove a review only if it breaks the Community Guidelines, for example because it is fake, abusive, off-topic, or contains personal information. We do not remove a review because it is negative.
Blocking. You can block another member. Once you do, you won't see each other's listings, and neither of you can message or make offers to the other.
13. Prohibited conduct
You agree not to:
- take a trade that began on SwapRound off the platform to avoid fees or protections;
- ask for or make payment outside the app for a SwapRound trade;
- harass, threaten, stalk, or discriminate against another member;
- misrepresent yourself or an item;
- try to identify a seller whose details are hidden;
- use another member's information for anything other than completing your trade;
- scrape, reverse-engineer, or interfere with the Services;
- create multiple or fake accounts; or
- use the Services for anything unlawful.
The full rules are in the Community Guidelines.
14. Communications and text messages
Push and email. We send messages about your account and trades by push notification and email. We send marketing messages only if you choose to receive them, and you can opt out at any time. You cannot opt out of essential account emails while your account is open.
SwapRound Text Alerts (SMS program). This section is our text-message program terms.
- Program name: SwapRound Text Alerts, run by SwapRound LLC.
- What we send: one-time verification codes when you sign up or change your phone number; and, if you turn on trade texts, updates about your trades, such as new offers, accepted offers, pickup reminders, and cancellations. We do not send marketing texts.
- How you sign up: you enter your mobile number in the app to receive verification codes. Trade texts are sent only if you tick the box to receive them. Agreeing to receive texts is not a condition of buying anything.
- Message frequency: varies with your activity. Verification codes are sent only when you request one. Trade texts depend on how many trades you have going.
- Cost: message and data rates may apply. Check your mobile plan for details.
- Help: reply HELP to any text, or email admin@swapround.app.
- Stop: reply STOP to any text to stop all texts from us. We'll send one message to confirm, then no more. If you stop texts, you won't get verification codes or trade updates by text; we'll keep sending essential updates in the app and by email. To start again, reply START.
- Carriers are not liable for delayed or undelivered messages.
- Privacy: see our Privacy Policy. We do not sell or share your mobile number or text-message consent with anyone for their marketing.
15. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SWAPROUND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SWAPROUND MAKES NO WARRANTY ABOUT ANY ITEM, ANY MEMBER, THE ACCURACY OF ANY LISTING, THE SAFETY OR CONDITION OF ANY ITEM, THE CONDUCT OF ANY MEMBER ONLINE OR IN PERSON, OR THE RESULTS OF ANY SCREENING WE PERFORM.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SWAPROUND WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES OR ANY INTERACTION WITH ANOTHER MEMBER.
SWAPROUND'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID SWAPROUND IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
Some jurisdictions do not allow certain limitations. Where that is the case, these limitations apply only to the extent the law permits. Nothing in these Terms limits liability for gross negligence, willful misconduct, or anything else that cannot be limited by law.
17. Release and indemnity
To the fullest extent permitted by law, you release SwapRound and its officers, members, employees, and agents from claims arising out of a dispute between you and another member, including the conduct of another member at a meetup.
You agree to indemnify SwapRound against any claim, loss, liability, and expense (including reasonable attorneys' fees) arising from your breach of these Terms, Your Content, the items you list or sell, or your violation of any law or third-party right.
18. Dispute resolution, arbitration, and class action waiver
Informal resolution first. Before starting arbitration, you agree to contact us at admin@swapround.app and give us 60 days to try to resolve the dispute. We will do the same before starting arbitration against you.
Arbitration. If we cannot resolve it, you and SwapRound agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before one arbitrator. Hearings will take place in Fairfield County, Connecticut, or remotely at your choice. The Federal Arbitration Act governs this section.
Exceptions. Either party may bring an individual claim in small claims court. Either party may ask a court for an injunction to stop infringement or misuse of intellectual property.
Class action and jury waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. You and SwapRound waive any right to a jury trial.
Your right to opt out. You can opt out of this Section 18 by emailing admin@swapround.app within 30 days of first accepting these Terms, with your name, the email on your account, and a statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.
19. Governing law and courts
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. For any matter not subject to arbitration, you and SwapRound agree to the exclusive jurisdiction of the state and federal courts located in Fairfield County, Connecticut.
20. Changes to these Terms
We may update these Terms. If a change is material, we will tell you in the app or by email at least 30 days before it takes effect, and ask you to accept the updated Terms before you continue using the Services. We will not apply a change to Section 18 to a dispute you have already notified us about. If you do not accept a change, you may close your account.
21. Termination
You may close your account at any time in Settings. We may suspend or end your access as described in Section 4. When an account closes, open offers and active trades are cancelled and any holds released; payouts already owed are paid, subject to any open return request, hold, or investigation; and Neighbor Points are forfeited as described in the Neighbor Points Program Terms. A Round+ membership is cancelled and will not renew. Sections 3, 11, and 15 to 19 survive termination.
22. App store terms
If you downloaded the app from the Apple App Store or Google Play, you also agree to that store's terms. These Terms are between you and SwapRound only, not Apple or Google. SwapRound, not Apple or Google, is responsible for the app, its maintenance and support, and any claims relating to it, including product-liability, consumer-protection, and intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm that you are not located in a country subject to a U.S. embargo and are not on any U.S. government list of prohibited parties.
23. General
These Terms are the entire agreement between you and SwapRound about the Services. If any part is unenforceable, the rest stays in effect. If we don't enforce a provision, that is not a waiver. You may not transfer these Terms. We may transfer them to an affiliate or as part of a merger, financing, or sale of assets. We may send you notices in the app or by email.
